Vestra is a digital real estate investment platform that enables eligible users to discover, invest in, manage, and where available, trade fractional interests in real estate investment opportunities.

By accessing or using the Platform, creating an account, or using any of our services, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any other policies incorporated by reference.

If you do not agree to these Terms, you must not access or use the Platform.

1. Acceptance of these Terms

These Terms constitute a legally binding agreement between you ("User," "you," or "your") and Vestra.

• Be legally permitted to use the Platform and invest under the laws applicable to you;

Vestra reserves the right to deny, suspend, or terminate access where eligibility requirements are not met.

3. Account Registration

To access certain features of the Platform, you must create an account.

You agree to:

• Maintain the confidentiality of your login credentials;

• Notify Vestra immediately if you believe your account has been compromised;

• Accept responsibility for all activities conducted under your account unless unauthorized access has been reported to us.

You may not create multiple accounts for fraudulent or deceptive purposes.

4. Identity Verification

To comply with applicable laws and maintain the integrity of the Platform, Vestra may require users to complete Advanced Identity Verification procedures based on your account value before accessing certain services.

Verification may include:

• Government-issued identification;

• Selfie or biometric verification where permitted;

• Proof of address;

• Source of funds information;

• Tax information where required;

• Additional documentation reasonably requested by Vestra.

Failure to complete verification may result in delayed transactions, account restrictions, suspension, or termination.

5. Vestra Services

Vestra provides a digital platform through which eligible users may:

• Browse real estate investment opportunities;

• Invest in fractional real estate opportunities;

• Monitor investment portfolios;

• Receive investment-related communications;

• Participate in referral programs where available;

• Buy or sell eligible investment interests through an approved secondary marketplace where available;

• Access educational and informational investment resources.

The availability of any service may vary depending on applicable laws, regulatory requirements, jurisdiction, operational considerations, or investment eligibility.

Nothing in these Terms obligates Vestra to make any investment opportunity available to any particular user.

6. Investment Risks

Investing through Vestra involves significant financial risk.

By using the Platform, you acknowledge and accept that:

• All investments involve risk.

• You may lose part or all of your investment.

• Past performance is not a guarantee of future results.

• Real estate values may increase or decrease.

• Rental income may vary.

• Investment opportunities may have limited liquidity.

• Economic conditions, legislation, taxation, natural disasters, and market events may affect investment performance.

• Investment returns are never guaranteed.

Before making any investment decision, you should carefully evaluate your financial circumstances and seek independent legal, financial, and tax advice where appropriate.

7. Secondary Marketplace

Where Vestra provides a secondary marketplace, eligible users may be permitted to buy or sell qualifying fractional investment interests.

Participation is subject to:

• Identity verification;

• Regulatory compliance;

• Platform rules;

• Applicable laws;

• Successful settlement of transactions.

Vestra provides the technology that facilitates marketplace transactions but does not guarantee:

• The availability of buyers or sellers;

• Liquidity;

• Market prices;

• Completion of transactions.

Marketplace transactions are generally considered final once settled unless otherwise required by applicable law.

Investment losses resulting from market activity remain the responsibility of the participating investors.

8. Deposits, Withdrawals and Payment Services

Users may fund their accounts using payment methods made available through the Platform.

Payment services may be provided by regulated third-party providers, including:

• Banks;

• Licensed payment processors;

• ACH providers;

• Card networks;

• Digital payment providers;

• Custodians;

• Escrow providers;

• Other regulated financial institutions.

Vestra is not a bank and does not provide banking services.

Client funds may be held, processed, or transferred through regulated financial institutions or trusted payment partners in accordance with applicable laws and regulatory requirements.

Withdrawals may be delayed where necessary to complete compliance reviews, fraud investigations, payment verification, or legal obligations.

9. Fees

Certain services offered through the Platform may be subject to fees.

Applicable fees will be disclosed before a transaction is completed.

These may include:

• Platform fees;

• Investment fees;

• Transaction fees;

• Marketplace fees;

• Withdrawal fees where applicable;

• Other fees disclosed within the Platform. Processing fees are determined by applicable regulations, payment service providers, and tax requirements, and are not controlled by Vestra..

Vestra reserves the right to revise its fee schedule from time to time. Material changes will be communicated before taking effect where required by law.

10. Electronic Communications

By using the Platform, you consent to receive communications electronically.

These communications may include:

• Account notifications;

• Investment confirmations;

• Security alerts;

• Legal notices;

• Tax documents where applicable;

• Regulatory disclosures;

Electronic communications satisfy any legal requirement that such communications be provided in writing.

11. Electronic Signatures

Violation of these Terms may result in immediate suspension or permanent termination of your account.

Vestra may:

• Conduct ongoing compliance reviews;

• Monitor transactions;

• Report suspicious activity where required by law;

• Restrict or terminate services to comply with regulatory obligations.

14. Taxes

Users are solely responsible for determining and complying with their own tax obligations arising from investments made through the Platform.

Vestra does not provide tax advice.

Where required by law, Vestra may provide tax documentation or report information to tax authorities.

15. Intellectual Property

All intellectual property rights relating to the Platform, including software, trademarks, logos, graphics, databases, content, documentation, and designs, belong to Vestra or its licensors.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely in accordance with these Terms.

You may not reproduce, distribute, modify, reverse engineer, sell, or commercially exploit any portion of the Platform without our prior written consent.

16. Disclaimers

The Platform is provided on an "AS IS" and "AS AVAILABLE" basis.

Nothing on the Platform constitutes:

• Financial advice;

• Investment advice;

• Legal advice;

• Tax advice;

• Accounting advice;

• A recommendation to purchase or sell any investment.

While Vestra performs due diligence on investment opportunities, we do not guarantee:

• Investment performance;

• Capital appreciation;

• Rental income;

• Property occupancy;

• Liquidity;

• Future market conditions.

Users remain solely responsible for their own investment decisions.

17. Limitation of Liability

To the fullest extent permitted by applicable law, Vestra and its directors, officers, employees, contractors, affiliates, licensors, partners, and service providers shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages arising from or relating to:

• Use of the Platform;

• Inability to use the Platform;

• Investment losses;

• Market fluctuations;

• Service interruptions;

• Data loss;

• Loss of profits;

• Loss of business opportunities;

• Delays caused by payment providers or financial institutions;

• Events beyond our reasonable control.

Nothing in these Terms excludes liability that cannot legally be excluded under applicable law.

18. Indemnification

You agree to defend, indemnify, and hold harmless Vestra, its affiliates, officers, directors, employees, contractors, and representatives from any claims, liabilities, damages, losses, costs, or expenses arising from:

• Your breach of these Terms;

• Your misuse of the Platform;

• Your violation of applicable laws;

• Fraudulent activity associated with your account;

• Your infringement of another person's rights.

19. Suspension and Termination

Vestra may suspend, restrict, or terminate your account immediately where:

• You breach these Terms;

• Required identity verification cannot be completed;

• Fraudulent or suspicious activity is detected;

• Required by applicable law;

• Necessary to protect the Platform or other users.

Termination does not affect any rights or obligations that arose before termination.

20. Changes to these Terms

We may revise these Terms from time to time to reflect changes in our services, technology, legal obligations, or business operations.

When material changes are made, we will publish the updated Terms on the Platform and, where required by law, notify users before they become effective.

Continued use of the Platform after the effective date constitutes acceptance of the revised Terms.

21. Governing Law and Dispute Resolution

These Terms shall be governed by the applicable laws of the United States, without regard to conflict of law principles.

Before commencing formal legal proceedings, both parties agree to make reasonable efforts to resolve disputes through good-faith discussions.

Where permitted by applicable law, unresolved disputes may be submitted to binding arbitration or another lawful dispute resolution process.

Nothing in this section prevents Vestra from seeking injunctive or equitable relief where necessary to protect its rights, intellectual property, confidential information, or the security of the Platform.

22. Severability

If any provision of these Terms is determined to be unlawful, invalid, or unenforceable, the remaining provisions shall continue in full force and effect.

23. Entire Agreement

These Terms, together with the policies and agreements referenced herein, constitute the entire agreement between you and Vestra regarding your use of the Platform and supersede all prior understandings relating to the same subject matter.
