This Marketplace (P2P Trading) Policy ("Policy") governs the buying and selling of eligible fractional real estate interests through the Vestra Secondary Marketplace ("Marketplace").
The Marketplace enables eligible users to buy and sell qualifying fractional ownership interests in investment opportunities listed on the Vestra Platform.
This Policy establishes the rules governing Marketplace participation, listing requirements, trading procedures, settlement, user responsibilities, and Vestra's role in facilitating Marketplace transactions.

The Marketplace exists to provide eligible investors with an opportunity to transfer qualifying investment interests to other eligible users through a secure and transparent trading environment.
The Marketplace is intended to improve liquidity where possible; however, Vestra does not guarantee that a buyer or seller will be available for any investment.
To participate in the Marketplace, users must:
Maintain an active Vestra account;
Be at least eighteen (18) years of age;
Successfully complete identity verification;
Satisfy all applicable KYC and AML requirements;
Be legally permitted to participate in Marketplace transactions under applicable laws;
Maintain their account in good standing.
Additional eligibility requirements may apply depending on the user's jurisdiction or the specific investment opportunity.
Not every investment listed on the Platform is eligible for secondary trading.
Eligibility may depend on factors including:

Regulatory requirements;
Holding periods;

Vestra reserves the right to determine whether an investment qualifies for Marketplace trading.
Eligible users may list qualifying investment interests for sale through the Marketplace.
When creating a listing, sellers must provide accurate information regarding:

Users may only list investments they legally own and are authorized to transfer.
Unless otherwise specified by the Platform, sellers determine their own asking price.
However, Vestra reserves the right to:

Prevent obvious pricing errors;
Reject listings that appear fraudulent or misleading;
Remove listings that may negatively affect Marketplace integrity.
Listing an investment does not guarantee that it will be sold.
Before purchasing an investment through the Marketplace, buyers should carefully review:

Pricing;
Transaction fees;
Applicable investment documents.
Buyers are solely responsible for determining whether an investment is appropriate for their financial objectives and risk tolerance.
Vestra does not provide investment advice or recommend specific Marketplace transactions.
Marketplace transactions may occur when:
A buyer accepts an available listing;
Pricing conditions are satisfied;
Payment is successfully processed;
Compliance reviews are completed;
Settlement requirements have been satisfied.
Vestra reserves the right to reject or delay transactions where necessary for security, compliance, or operational reasons.
Following a successful Marketplace transaction:
Ownership records will be updated;
Payment will be processed in accordance with the Payment & Withdrawal Policy;
Applicable fees will be deducted where appropriate;
Transaction records will be maintained for regulatory purposes.
Settlement times may vary depending on payment methods, compliance reviews, and operational requirements.
Marketplace transactions may be subject to fees, including:
Transaction fees;
Settlement fees;
Administrative fees;
Payment processing fees;
Applicable taxes.
Where applicable, fees will be disclosed before the transaction is completed.
Sellers agree to:
Own the investment being offered;
Provide accurate listing information;
Comply with applicable laws;
Complete any required documentation;
Cooperate with compliance reviews.
Sellers must not attempt to transfer investments they do not own or control.
Buyers agree to:

Understand the associated investment risks;
Ensure sufficient funds are available;
Complete any required verification;
Comply with applicable laws.
Buyers remain responsible for their own investment decisions.
Users must not engage in conduct that undermines the fairness or integrity of the Marketplace.
Prohibited conduct includes:
Market manipulation;
Wash trading;
Artificial price inflation or suppression;
False or misleading listings;
Insider trading where prohibited by law;
Fraudulent transactions;
Collusion between users;
Use of stolen payment methods;
Misrepresentation of investment ownership.
Violations may result in suspension or permanent removal from the Marketplace.
Marketplace transactions may be delayed or suspended while Vestra conducts:
Identity verification;
AML screening;
Fraud prevention reviews;
Sanctions screening;
Risk assessments;
Regulatory reviews.
Vestra may request additional information before approving or settling a transaction.
Once a Marketplace transaction has been successfully executed and settled, it is generally considered final.
Transactions may only be reversed where:

Necessary to correct a processing error;
Fraud is identified;
A court or regulatory authority requires reversal;
Vestra determines that the transaction violated applicable policies or legal obligations.
Vestra may remove, suspend, or cancel Marketplace listings where:
Listing information is inaccurate;
Fraud is suspected;
Compliance concerns arise;
Ownership cannot be verified;
Regulatory requirements require intervention;
Technical errors occur;
The listing violates Platform policies.
The Marketplace may be unavailable due to:
Scheduled maintenance;
System upgrades;
Security incidents;
Regulatory requirements;
Technical failures;
Operational interruptions.
Vestra does not guarantee continuous Marketplace availability.
Vestra provides the Marketplace as a platform for eligible users to buy and sell qualifying investment interests.
Except where required by applicable law, Vestra:
Is not a party to the investment negotiations between buyers and sellers;
Does not guarantee that listings will result in completed sales;
Does not guarantee investment performance;
Does not guarantee future liquidity;
Does not guarantee future market prices.
Nothing in this Policy limits liability that cannot legally be excluded.
Vestra may update this Marketplace (P2P Trading) Policy to reflect changes in:
Applicable laws;
Regulatory requirements;
Marketplace functionality;
Investment products;
Business operations.
Updated versions will be published on the Platform with a revised Effective Date.
Continued use of the Marketplace after the Effective Date constitutes acceptance of the updated Policy.
